Es gibt zahlreiche Veröffentlichungen zum Thema Corporate Finance, warum dieses Buch? Was den deutschen Markt für Fachliteratur angeht, wird die Anzahl der brauchbaren Werke schnell sehr stark eingeschränkt, da es bei den meisten Büchern sich entweder nicht um akademisch-wissenschaftliche Abhandlungen handelt, sondern um für den Laien verständliche Literatur oder um diffuses Professorengeplänkel, das einem den Spaß bereits nach der Einführung nimmt. Die Autoren dieses Buches können in sehr erfreulicher Weise beiden Ansprüchen entgegenkommen. Der erste Teil des Buches legt die quantitativen Grundlagen, die unerlässlich sind. Der Leser wird durch die Bereich Present Values, CAPM, APT, Portfoliotheorie, Risikoquantifizierung und Optionspreismodelle geführt. Das mathematische Niveau nimmt dabei kontinuierlich zu. Insbesondere die Herleitungen für die Berechnung von Optionspreisen sind mathematisch anspruchsvolle Operationen. Im zweiten Teil des Buches werden verschiedene Finanzierungsmethoden (LBO, Private Equity, IPOs etc.) teilweise detailliert, teilweise weniger detailliert behandelt. Größere Beachtung wird dabei der Discounted Cash Flow Methode geschenkt, während neuere Verfahren wie Real Option Pricing nur sehr oberflächlich behandelt werden. Sehr interessant ist auch das Kapital zu Cash Flow Return on Investment im hinteren Teil sowie die Beiträge zum M&A Geschäft (Ablauf, Finanzierung, rechtliche Grundlagen). Das Buch ist in zwei "große" Kapitel aufgeteilt, die auch sehr gut getrennt voneinander gelesen werden können. Der erste Teil gibt dabei einen Überblick über die finanztheoretischen Grundlagen, die allerdings ohne Vorkenntnisse nicht sehr einfach zu verstehen sind. Allerdings hilft auch schon ein Blick in Grundlagenliteratur weiter. Der zweite Teil "Unternehmensfinanzierung" ist dabei stark an der (angloamerikanischen) Praxis angelehnt. Ich habe mir das Buch gekauft, um mich auf einen Tätigkeit im M&A-Bereich vorzubereiten. Die Ausführungen der Autoren stimmen mit meinen bisherigen Erfahrungen weitestgehend überein, Abweichungen sind mit Sicherheit damit zu begründen, das es die "idealen", standardisierten M&A-Prozesse nicht gibt.
