An agreement is the result of the mutual assent of two parties to certain terms and if it is clear that there is no consensus, what may have been written or said becomes immaterial. Ely (marchioness), In re, 4 De G., J. A S. 638.

As soon as the fact is established of the final mutual assent of the parties to certain terms, and those terms are evidenced by any writing signed by the party to be charged or his agent lawfully authorised, there exist all the mate rials which a court of equity requires to make a legally-binding contract.
